1. Terms of Use.
These Terms of Use are part of and are incorporated into the Agreement between
you and CompuCom. Please read these Terms of Use carefully as these terms cover
your access and use of this webportal and contains very important information
about your rights and obligations, as well as limitations and exclusions that
may apply to you. These terms and conditions are subject to change without prior
notice at any time, in CompuCom's sole discretion.
2. Definitions.
2.1 “Agreement” shall collectively mean the following documents:

General Return Policy, and Privacy Policy.
2.2 “Ordered Items” shall mean both Products and Services.
2.3 “Product” shall mean (i) computer hardware products manufactured by third parties,
(ii) computer software products supplied by third parties, and (iii) third party
computer hardware/software services (collectively, the “Products”).
2.4 “Services” shall mean your purchase of certain CompuCom information
technology services.
2.5 “Terms of Use” shall refer to the terms covering your access and use of
this webportal.
3. Access, Interference and Linking
3.1 CompuCom grants you limited rights to access and make use of the webportal
and not to download (other than page caching) or modify it, or any portion of it,
except as provided below under “Use Restrictions,” or with express written consent
of CompuCom.
3.2 The following activity on the webportal is expressly prohibited: Any use of any robot,
spider, other automatic device, or manual process to monitor or copy portions of the
webportal or the content contained herein for purposes other than purchasing Ordered
Items, without prior written permission by CompuCom; collection or use of any Ordered
Items listings, descriptions, or prices, from the webportal for the benefit of another
business that supplies Ordered Items competitive with or comparable to those offered
on the webportal; and, any use of, visits to, or other action that imposes an
unreasonable or disproportionately large load on the webportal, or otherwise
interferes with its proper and timely functioning.
3.3 Any unauthorized use terminates the use rights granted by CompuCom in this webportal.
CompuCom does not review or control third party sites that link to or from the
webportal, and is not responsible for the contents of any third party sites linked
to or from the webportal. CompuCom reserves the right to terminate access to this
webportal at any time without notice.
4. Use Restrictions
The copyright in all material provided on this webportal is held by CompuCom or by the
original creator of the material. Except as stated herein, none of the material may be
copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted
in any form or by any means, including, but not limited to, electronic, mechanical,
photocopying, recording, or otherwise, without the prior written permission of CompuCom
or the copyright owner. Permission is granted to display, copy, distribute and download
the materials on this webportal solely for placing orders from this webportal, provided
you do not modify the materials and that you retain all copyright and other proprietary
notices contained in the materials. This permission terminates automatically if you
breach any of these terms or conditions. Upon termination, you must immediately destroy
any downloaded or printed materials. You also may not, without CompuCom’s prior written
permission, “mirror” any material contained on this webportal on any other server.

laws, trademark laws, the laws of privacy and publicity, and communications regulations

5. User ID and Password
You are responsible for maintaining the confidentiality of your user id and
password and for restricting access to your computer, and you agree to accept
responsibility for all activities that occur under your user id or password.
CompuCom reserves the right to refuse service, terminate accounts, remove or
edit content, or cancel orders in its sole discretion.
6. WebPortal Links
The information provided to you in the links contained on the webportal is provided
solely for your convenience and reference. The results are not guaranteed to be accurate
and are in no way endorsed, offered or guaranteed by CompuCom. Any non-personal
communication or material you transmit to the webportal by electronic mail or otherwise,
including any data, questions, comments, suggestions, or the like is, and will be treated
as, non-confidential and non-proprietary. Anything non-personal that you transmit or
post may be used by CompuCom for any purpose, including but not limited to reproduction,
